1. Acceptance of Terms
The Service is made available to you by Ambia Global Technologies Ltd, a company established in the Dubai International Financial Centre ("Ambia", "we", "us", or "our"), acting as the customer-facing contracting party, authorised reseller, and service operator for the Service in the applicable territory. By accessing or using the Service, creating an account, or otherwise using any feature of the Service, you agree to be bound by these Terms.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email and in-platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
2. Service Description
Terraa is an AI-powered property management platform that provides tools for managing real estate portfolios, including but not limited to:
- Property and unit management across buildings and portfolios
- Lease administration, tracking, and renewal management
- Tenant onboarding, communication, and document management
- Financial management including rent collection, expense tracking, and reporting
- Maintenance request coordination and contractor management
- VAT compliance and tax filing preparation
- AI-powered analytics, predictions, and automated workflows
- Public property listings and broker marketplace
The Service is provided on a subscription basis. Features available to you depend on your subscription tier.
3. User Accounts
Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Account Types
- Administrator Accounts: For property management company staff with full platform access scoped to their assigned permissions.
- Landlord Accounts: For property owners with access limited to their own portfolio data, financials, and reports.
- Tenant Accounts: For individual tenants with access limited to their lease, payment history, maintenance requests, and documents.
- Broker Accounts: For registered brokers with access to vacancy listings and application submission.
Account Security
You must immediately notify us at security@terraa.io if you suspect any unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your credentials.
4. Subscription and Payments
Pricing
Subscription fees are as published on our pricing page at the time of purchase. Prices are quoted in United States Dollars (USD) unless otherwise stated and are exclusive of applicable taxes.
Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due on the billing date. We accept credit cards and bank transfers.
Free Trial
New accounts may be eligible for a free trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel. No charge is made during the trial period.
Refunds
Monthly subscriptions may be cancelled at any time. Refunds are not provided for partial billing periods. Annual subscriptions may be refunded on a pro-rata basis within the first 30 days if the Service does not meet your reasonable expectations.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
Your Data
You retain ownership of all data you upload or input into the Service ("Your Data"). You grant us a limited licence to process Your Data solely for the purpose of providing the Service.
Data Export
You may export Your Data at any time through the platform's export functionality or by contacting support. Upon account termination, we will make Your Data available for export for a period of 90 days before deletion.
Data Security
We implement industry-standard security measures including encryption at rest and in transit, role-based access controls, and regular security audits. We select data hosting regions that comply with applicable data residency requirements, including those of the UAE and DIFC.
6. Intellectual Property
Our Property
The Service, including the Terraa platform, software, architecture, user interfaces, workflows, databases, documentation, models, and related intellectual property rights (the "Platform IP"), is proprietary and protected by applicable intellectual property laws. No ownership rights in the Platform IP are transferred to you. All rights not expressly granted are reserved.
Your Content
You retain all rights to content you create or upload. By using the Service, you grant us a non-exclusive, worldwide licence to use, store, and process your content solely to provide and improve the Service.
Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- AI-generated recommendations, predictions, and analyses are provided for informational purposes only and should not be considered as professional legal, financial, or tax advice.
- Our total liability for any claims arising from or relating to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
8. Termination
By You
You may cancel your subscription at any time through the platform settings or by contacting support. Cancellation takes effect at the end of the current billing period.
By Us
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. We will provide reasonable notice where possible.
Effect of Termination
Upon termination, your access to the Service will cease. Your Data will remain available for export for 90 days. After this period, Your Data will be permanently deleted in accordance with our data retention policy.
9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates. Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the DIFC Courts.
For users outside the UAE, any disputes shall be resolved through binding arbitration administered by the Dubai International Arbitration Centre (DIAC), with the seat of arbitration in Dubai, UAE.
10. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Terraa.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
